1. Acceptance of Terms

By accessing or using Vibed Market (vibedmarket.com), operated by RRG Figueroa, LLC (“Company”, “we”, “us”, “our”), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the platform. We reserve the right to modify these terms at any time. Your continued use of the platform following any changes constitutes acceptance of the revised terms. It is your responsibility to review these terms periodically.

2. Description of Service

Vibed Market is an online marketplace and directory for web applications. We provide a platform for developers (“Creators”) to list and showcase their web applications and for users (“Users”) to discover and access them. We do NOT host, operate, develop, or maintain any of the third-party applications listed on our platform. Applications listed on Vibed Market are accessed via external URLs and run entirely on third-party infrastructure outside of our control.

3. Third-Party Applications Disclaimer

Vibed Market is a directory and marketplace platform only.

We do not develop, own, operate, endorse, verify, or guarantee any application listed on the platform. We are not responsible for the content, functionality, security, privacy practices, data handling, availability, performance, or quality of any third-party application listed on our platform. Your use of any listed application is entirely at your own risk.

Any transactions, interactions, data sharing, or disputes between you and a third-party application or its developer are solely between you and that third party. RRG Figueroa, LLC has no obligation to mediate or resolve such disputes.

Listing on Vibed Market does not constitute an endorsement, recommendation, certification, or guarantee of any kind by RRG Figueroa, LLC. We do not verify the safety, legality, accuracy, quality, or suitability of any listed application. We do not guarantee that any application will be free of malware, viruses, security vulnerabilities, or harmful code. Users should exercise their own judgment and due diligence before using any application found on our platform.

4. AI-Generated Content Disclosure

Certain content on Vibed Market is generated or assisted by artificial intelligence, including but not limited to:

• Some initial community discussions and sample comments created during the platform's launch period
• Some blog posts and articles
• Some app descriptions and summaries
• Some editorial collection descriptions

AI-generated content is provided for informational and illustrative purposes only. We do not guarantee the accuracy, completeness, or reliability of AI-generated content. Users should independently verify any information before relying on it.

As our community grows, user-generated content will increasingly replace AI-generated placeholder content. User-generated reviews, comments, and discussions are authentic contributions from real users of the platform.

5. User Accounts and Eligibility

You must provide accurate and complete information when creating an account. You are solely responsible for maintaining the confidentiality and security of your account credentials. You must be at least 13 years of age to use the platform. If you are between 13 and 18, you must have parental or guardian consent. You are responsible for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts at our sole discretion, with or without cause, with or without notice.

6. Creator/Developer Terms

By submitting an application listing to Vibed Market, you represent and warrant that:

1. You are the owner of the application or have been authorized by the owner to list it on our platform
2. The application does not infringe on any third-party intellectual property rights, including patents, trademarks, copyrights, or trade secrets
3. The application does not contain malware, viruses, spyware, ransomware, or any form of malicious code
4. All information in the application listing, including name, description, screenshots, and pricing, is accurate and not misleading
5. The application complies with all applicable federal, state, and local laws and regulations
6. You are solely responsible for the application, its functionality, its data practices, and any claims arising from its use by third parties

We reserve the right to remove, modify, or refuse any listing at any time for any reason or no reason, without prior notice.

Paid listing tiers (Pro at $9.99/month, Premium at $19.99/month) provide enhanced visibility features as described on our pricing page. Payment of a listing fee does not guarantee any specific level of traffic, engagement, or results.

Subscription payments are processed through Stripe, Inc. By making a payment, you also agree to Stripe's terms of service. Refunds for paid listing tiers are handled on a case-by-case basis at the sole discretion of RRG Figueroa, LLC. Cancellation of a subscription will take effect at the end of the current billing period.

7. User Conduct and Prohibited Activities

You agree not to:

1. Submit applications that are illegal, fraudulent, harmful, obscene, or infringe on others' rights
2. Manipulate or attempt to manipulate ratings, reviews, rankings, or any other platform metrics through fake accounts, automated systems, or coordinated activity
3. Scrape, crawl, copy, reproduce, or systematically download content from the platform
4. Use the platform for spam, unsolicited advertising, or unauthorized commercial purposes
5. Interfere with or disrupt the platform's infrastructure or other users' experience
6. Impersonate another person, entity, or falsely state or misrepresent your affiliation
7. Attempt to gain unauthorized access to any portion of the platform
8. Use the platform to distribute malware or harmful code

Violation of these terms may result in immediate termination of your account and may be reported to relevant authorities.

8. Intellectual Property

The Vibed Market name, logo, branding, website design, source code, and original content are the property of RRG Figueroa, LLC and are protected by applicable intellectual property laws. You may not use, reproduce, or distribute our intellectual property without prior written consent.

Application listings, including names, screenshots, icons, descriptions, and other materials submitted by Creators, remain the intellectual property of their respective owners.

By submitting content to Vibed Market, you grant RRG Figueroa, LLC a non-exclusive, worldwide, royalty-free, sublicensable license to use, display, reproduce, modify, and distribute your submitted content solely for the purpose of operating, promoting, and improving the Vibed Market platform.

This license terminates when you remove your content or delete your account, except for content that has been shared with other users or incorporated into the platform in a way that cannot be reasonably removed.

9. Digital Millennium Copyright Act (DMCA)

We respect the intellectual property rights of others. If you believe that any content on Vibed Market infringes your copyright, please submit a DMCA takedown notice to info@vibedmarket.com with: (a) identification of the copyrighted work, (b) identification of the infringing material and its location on the platform, (c) your contact information, (d) a statement of good faith belief, and (e) a statement under penalty of perjury that the information is accurate and you are authorized to act on behalf of the copyright owner.

10. Disclaimer of Warranties

The platform and all content, services, and features available through it are provided on an “as is” and “as available” basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. RRG Figueroa, LLC does not warrant that: (a) the platform will be uninterrupted, timely, secure, or error-free; (b) the results obtained from the use of the platform will be accurate or reliable; (c) any application listed on the platform will be safe, functional, legal, or suitable for any purpose; (d) any defects in the platform will be corrected. Your use of the platform and any application accessed through it is at your sole risk. No advice or information, whether oral or written, obtained from RRG Figueroa, LLC or through the platform shall create any warranty not expressly stated in these terms.

11. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall RRG Figueroa, LLC, its officers, directors, employees, agents, affiliates, or licensors be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, data, or other intangible losses, arising out of or in connection with: (a) your use of or inability to use the platform; (b) any application listed on or accessed through the platform; (c) any conduct or content of any third party on the platform; (d) unauthorized access to or alteration of your data or transmissions; (e) any AI-generated content on the platform.

In no event shall our total aggregate liability exceed the greater of one hundred dollars ($100) or the amount you have paid to RRG Figueroa, LLC in the twelve (12) months preceding the event giving rise to the claim. This limitation of liability applies regardless of the legal theory on which the claim is based, whether in contract, tort (including negligence), strict liability, or otherwise, and even if RRG Figueroa, LLC has been advised of the possibility of such damages.

12. Indemnification

You agree to indemnify, defend, and hold harmless RRG Figueroa, LLC, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from: (a) your use of the platform; (b) your violation of these Terms of Service; (c) your violation of any third-party rights, including intellectual property rights; (d) your submission of any application listing or content to the platform; (e) any claim that your submitted content caused damage to a third party.

This indemnification obligation will survive termination of your account and these Terms of Service.

13. Governing Law and Dispute Resolution

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

Any dispute, claim, or controversy arising out of or relating to these terms or the platform shall be resolved through binding arbitration administered in Miami-Dade County, Florida, in accordance with the rules of the American Arbitration Association.

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in class action lawsuits or class-wide arbitration against RRG Figueroa, LLC.

14. Severability

If any provision of these Terms of Service is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these terms shall otherwise remain in full force and effect.

15. Entire Agreement

These Terms of Service, together with the Privacy Policy and Disclaimer, constitute the entire agreement between you and RRG Figueroa, LLC regarding the use of the platform.
